End User License Agreement

This End User License Agreement (“Agreement”) is between you (“User”) and Product Kit OS (“we,” “our,” or “us”).
By accessing, installing, or using any software, digital tools, or interactive components provided by Product Kit OS (“Software”), you agree to be bound by the terms of this Agreement.

If you do not agree, do not use or access the Software.

This EULA applies to software based components of Product Kit OS and does not replace the License Agreement governing downloadable content such as PDFs, templates, or kits.

1. License Grant

We grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Software strictly in accordance with this Agreement.

You may:

  • Use the Software for your personal or internal business purposes
  • Access features made available to you under your account plan
  • Store local copies of data generated through the Software (where applicable)

2. Restrictions

You may NOT:

  • Copy, distribute, or modify the Software
  • Sell, sublicense, or transfer access to others
  • Reverse engineer, decompile, attempt to derive source code, or circumvent security
  • Use the Software to build a competing product
  • Share your login credentials with any other person
  • Probe, scan, or test system vulnerabilities
  • Use automated scripts or bots to access or interact with the Software
  • Use the Software for any unlawful or unauthorized purpose

Violation may result in immediate termination of your account and license.

3. Ownership

The Software is licensed, not sold.
All rights, title, and interest remain the property of Product Kit OS.

This includes:

  • Source code
  • Feature designs
  • UI and UX elements
  • Algorithms
  • Documentation
  • Data structures
  • Any associated intellectual property

Nothing in this Agreement transfers ownership to the User.

4. Software Updates

We may provide updates, patches, or improvements to the Software.
These may:

  • Add features
  • Modify functionality
  • Fix issues or security vulnerabilities
  • Sunset or remove older features

By using the Software, you consent to automatic updates unless explicitly disabled in a feature that allows such control.

5. User Data and Privacy

Use of the Software requires the processing of certain personal or account related information.

Data processing is governed by:

  • Our Privacy Policy
  • Our Data Processing Agreement (DPA)
  • Applicable laws such as GDPR and CCPA

By using the Software, you consent to our handling of personal data according to those documents.

6. Third Party Services

The Software may rely on third party services for:

  • Hosting
  • Authentication
  • Payment processing
  • Email communication
  • Analytics
  • AI features

Use of these services may be governed by additional third party terms.
We are not responsible for service interruptions or data handling practices of third party vendors outside our control.

7. Availability and Service Modifications

We do not guarantee uninterrupted access, error free performance, or permanent availability of any feature.

We reserve the right to:

  • Change or discontinue features
  • Limit access to certain users or geographies
  • Disable or sunset older versions of the Software
  • Restrict usage that threatens system stability

8. Warranty Disclaimer

The Software is provided “as is” and “as available.”
We make no warranties, whether express or implied, including but not limited to:

  • Fitness for a particular purpose
  • Non infringement
  • Performance guarantees
  • Accuracy or reliability

Use the Software at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, Product Kit OS is not liable for:

  • Indirect or consequential damages
  • Loss of profits or revenue
  • Business interruption
  • Data loss or corruption
  • Inability to use the Software
  • Security breaches caused by third parties
  • Errors arising from integrations or third party tools

Our total liability will not exceed the amount paid by you in the previous 12 months for the Software.

10. Termination

We may terminate this license if you:

  • Violate this Agreement
  • Misuse or abuse the Software
  • Engage in illegal or harmful activity
  • Fail to comply with account or payment requirements

Upon termination:

  • You must stop using the Software immediately
  • We may disable your access without notice
  • No refunds will be issued for misconduct related terminations

11. Governing Law

This Agreement is governed by the laws of the United States and the State of Michigan, without regard to conflict of law principles.
